Directors

Robert F. Hatcher. Robert F. Hatcher is the President/Chief Executive Officer and Director of MidCountry. Mr. Hatcher was the President of First Liberty Bank from 1988 until 1990 and President and Chief Executive Officer of that bank and its parent, First Liberty Financial Corp., from 1990 until its merger with BB&T in 2000. Prior to joining First Liberty, Mr. Hatcher served in various positions with Trust Company Bank (now SunTrust) for 27 years. Throughout his career in the banking industry, Mr. Hatcher has been extensively involved in numerous civic organizations. He was appointed by the governor as Co-Chairman of the Commission for a New Georgia, and as the Vice-Chairman for the Board of Regents of the University System of Georgia. He is also a Trustee of Mercer University. Additionally, he serves on the boards of the Georgia Chamber of Commerce, the Georgia Public Policy Foundation and NewTown Macon. He is an honorary Lifetime Member of the Greater Macon Chamber of Commerce, which named him its 2005 Citizen of the Year.

C. Lee Ellis. C. Lee Ellis is the Chairman of the Board of Directors of MidCountry, and has served as Executive Vice President, Operations, of Alfa Companies since February 1999, and is a member of Alfa’s Board of Directors. Prior to that time, he served with Alfa as Executive Vice President, Investments, and in various other positions since 1975. Mr. Ellis currently serves on the Board of Directors for the Property Casualty Insurers Association of America, the YMCA Metro Board, and the Montgomery Area Chamber of Commerce. He is a member of the Montgomery Area Committee of 100, various sub-committees of the Property Casualty Insurers Association of America, and an investment member of the American Council of Life Insurance Companies. Mr. Ellis has also served as past president of the Montgomery Security Dealers. He is a past director of First Liberty Financial Corp and First Liberty Bank.

Richard W. Carpenter. Richard W. Carpenter serves as a spokesman for the Independent Directors of MidCountry. During his career in banking and investing, Mr. Carpenter has been active in several mortgage banking organizations. He began his career with The Citizens and Southern National Bank in July 1959, and in 1972, he was elected President of Citizens and Southern Realty Investors and assumed management of the Real Estate Finance Department of Citizens and Southern. Mr. Carpenter later served from 1975 through 1979 as General Vice President, Real Estate Finance, of the Citizens and Southern National Bank. Mr. Carpenter has also served as President and Chairman of the Board of SouthMark Properties, an Atlanta based real estate investment trust. Mr. Carpenter is a past Vice Chairman and Director of both First Liberty Financial Corp. and First Liberty Bank, and is also the past President and Director of Realmark Holdings Corp. and Commonwealth Oil Refining Company, Inc. He is presently, a Director of Wells Real Estate Investment Trust, Inc.

James L. Clayton. Jim Clayton is a director of MidCountry. He also serves as a director, Chairman, and Chief Executive Officer of Clayton BanCorp, Inc., a $600 million multi-bank holding company in Knoxville, Tennessee. Mr. Clayton founded Clayton Homes, Inc in 1956 and served as Chairman, President, and CEO for 40 years and was lauded by the NYSE, Forbes, Barons, and the Wall Street Journal for producing 30 consecutive years of 25% earnings growth until selling to Warren Buffet in 2003. He founded BankFirst in 1993, a group of banks in East Tennessee and served as its Chairman. After taking BankFirst public in 1998 at 800 million, he sold it to BB&T in 2000. At BB&T (Winston Salem), Mr. Clayton served on the Board of Directors, chaired the Executive Committee and acted as Chairman of the Tennessee BB&T board until December 2004. Mr. Clayton was inducted into the Horatio Alger Organization of Distinguished Americans in 1991. He was listed in the Forbes 400 list of Wealthiest Americans ten times beginning in 1991. Mr. Clayton holds degrees in Engineering and Law from the University of Tennessee and several honorary degrees. He serves on the board of Dollar General Corporation, (NYSE, DG), and numerous other for profit and non-profit organizations.

R. Kirby Godsey. Dr. R. Kirby Godsey serves as a member of the Board of Directors of MidCountry. Dr. Godsey has also served as President of Mercer University since July 1979 and, under his leadership, Mercer has grown into the second largest Baptist-affiliated university in the world, enrolling approximately 7,500 students, employing over 1,450 faculty and staff, with a budget and endowment of more than $150 million and $210 million, respectively. Prior to becoming President of Mercer University, Dr. Godsey served as Executive Vice President of that institution, as well as a Vice President and Dean of Averett College in Virginia. Dr. Godsey earned his Bachelor’s Degree in History and Religion from Samford University; his Masters of Divinity and Doctor of Theology Degrees from New Orleans Baptist Theological Seminary, his Masters of Art in Philosophy from the University of Alabama, and his Doctorate in Philosophy from Tulane University.

Robert F. Hatcher, Jr. Robert F. Hatcher, Jr. serves as a member of the Board of Directors of MidCountry. He also manages a variety of enterprises predominantly investing in start-up companies, real estate, and marketable securities. Mr. Hatcher is currently Chairman of NanoMist Systems, LLC, a science and technology company devoted to commercializing a proprietary ultra-fine mist technology, Chief Executive Officer of H2 Capital, Inc., an investment holding company, and Managing Principal of H2 Consulting, LLC, a firm specializing in distribution and information technology consulting. Mr. Hatcher began his career in 1986 as a consultant with Peat Marwick Main and Co., then with McKinsey and Co., both in New York, New York. From 1990 to 1994, Mr. Hatcher served as Chief Financial Officer of Coleman Meadows Pate Drug Company, a pharmaceutical wholesaler in Macon, Georgia, and from 1994 to 1998. Mr. Hatcher was Chief Executive Officer of Palmetto Merchandise, Inc., a novelty distribution business. He currently serves on numerous civic boards including the Wesleyan College Board of Trustees, Mercer University’s Stetson School of Business Board of Visitors, and the Georgia Chamber of Commerce Board of Trustees.

Carol A. Jackson, CPA. Carol A. Jackson serves as a Director of MidCountry, and is retired from the Federal Home Loan Bank of Atlanta, where she served as Executive Vice President. Ms. Jackson joined the FHLBA in 1980 as Director of Internal Audit, after working with CPA firms in Birmingham, Mobile and Atlanta, and served in various positions during her 25-year career with the Bank. Ms. Jackson is an active civic and community leader, currently serving on the Boards of The Atlanta Renewal Community, The Community Affordable Housing Equity Corporation, and other boards and committees. Ms. Jackson was honored by the YWCA of Greater Atlanta as its 1999 Woman of Achievement and received the Shining Star award from the Atlanta Women’s Foundation. Ms. Jackson graduated from the University of South Alabama in Mobile with a Bachelor's degree in Accounting.

Sherry A. Kellett, C.P.A. Sherry A. Kellett is a director of MidCountry, where she serves on the Audit Committee and the Compensation Committee. She is retired from BB&T Corporation in Winston-Salem, where she served as Corporate Controller from 1995 until 2003. Ms. Kellett was the Corporate Controller for Southern National Corporation from 1991 until 1995 when it merged with BB&T Corporation. Prior to joining Southern National Corporation in 1984, Ms. Kellett served in several positions at Arthur Andersen & Co. Throughout her career, Ms. Kellett has been active in numerous civic and professional organizations. She currently serves as a member of the Audit Committee and a Board Member for Highwoods Properties, Inc. She also serves on the Audit and Corporate Governance Committees for Medical Properties Trust, Inc. a Birmingham, Alabama based company. She is a member of the North Carolina Chapter of the Daughters of the American Revolution. Ms. Kellett has served as a board member of Senior Services, Inc., The Winston-Salem Foundation, Piedmont Club, and The Little Theatre of Winston-Salem. She has also served as the President, Treasurer and Secretary of the Piedmont Kiwanis Club and as a member of the American Institute of Certified Public Accountants, as well as, formerly serving as Treasurer and Board Member for the North Carolina School of the Arts Foundation and the North Carolina Center for Character Education. Ms. Kellett graduated from Duke University, Magna cum Laude, Phi Beta Kappa with a B.S. in Chemistry.

Jerry A. Newby. Jerry A. Newby is a Director of MidCountry, and has served as President of the Alabama Farmers Federation and as President, Chairman and Chief Executive Officer of Alfa Companies since 1998. Prior to his election as President of Alfa, Mr. Newby served as Vice President and as a member of the Board of Directors of Alfa. Mr. Newby also currently serves on the Foundation Board for Athens State University. He is a member of the Board of Directors of the American Farm Bureau Federation and Member of the Board of Trustees of of Samford University. In addition to his current involvement with Alfa, Mr. Newby is a partner in a family farm operation which is located on 8,000 acres in the Tennessee Valley area of north Alabama and parts of south central Tennessee. Mr. Newby has served as a member of the Alabama State Board of Agriculture and Industries, as a member of the Board of Cotton, Inc., as a delegate to the National Cotton Council and as Secretary of Southern Cotton Growers.

Stephen G. Rutledge, CPA. Stephen G. Rutledge serves as a member of the Board of Directors of MidCountry. He is a Senior Vice President, Chief Financial Officer and Chief Investment Officer at Alfa Companies and has served in that capacity since 1999. Mr. Rutledge joined Alfa Companies in 1984 as a securities analyst and was promoted to Vice President-Portfolio Management in August 1991. A graduate of Auburn University, Steve was formerly a senior accountant with Ernst & Young specializing in the audits of financial institutions. Throughout his career, Mr. Rutledge has been active in various civic and community organizations. He currently serves on the Board of Directors of Goodwill Industries of Central Alabama, and was a past chairman of the Investment Committee for the Property Casualty Insurers Association of America.

William D. Underwood. William D. Underwood serves as a Director of MidCountry. President Underwood was selected to serve as the 18th president of Mercer University beginning July 1, 2006. Prior to joining Mercer, President Underwood served at Baylor University as Interim President and held the prestigious Leon Jaworski Chair at the Baylor School of Law, having joined the law faculty in 1990 after practicing law with a large firm in Dallas. President Underwood is an accomplished educator and scholar. He was designated a Master Teacher at Baylor in recognition of extraordinary classroom teaching and was named an Outstanding University Professor in 2005. He is an elected member of the American Law Institute and the American Bar Foundation. President Underwood is a summa cum laude graduate of the University Of Illinois College Of Law, which awarded him the Juris Doctor degree. He graduated as class salutatorian and was an editor of the University of Illinois Law Review. He also holds a degree from Oklahoma Baptist University.
